GEM Compass Terms of Service

Welcome to GEM Compass. These Terms of Service ("Terms") govern your access to and use of the GEM Compass mobile application, website, community features, coaching tools, content, subscriptions, and related services (collectively, the "Service"). The Service is operated by GEM Coaching Network / Gennex Management ("GEM," "Company," "we," "us," or "our").
By creating an account, accessing the app, purchasing a subscription, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What GEM Compass Provides
GEM Compass is a guided personal growth and accountability app. The Service may include community access, goal setting, daily check-ins, curated recommendations, events, messaging, progress tracking, GEMstones, rewards or recognition features, coaching-related tools, administrative support, notifications, and other features we may add or change over time.
GEM Compass is designed to support personal growth, reflection, accountability, and community connection. It is not a medical, mental health, therapy, emergency, legal, financial, or professional advice service.
2. Eligibility
You must be at least 13 years old to use GEM Compass. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian.
By using the Service, you represent that:
- You can enter into a binding agreement.
- The information you provide is accurate and current.
- You will use the Service only for lawful purposes.
- You will follow these Terms and all community rules.
3. Accounts and Security
You may need to create an account to use GEM Compass. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to:
- Provide accurate registration information.
- Keep your account information updated.
- Not share your account with others.
- Notify us if you believe your account has been compromised.
- Not create accounts using false, misleading, or unauthorized information.
We may suspend or terminate accounts that violate these Terms, create risk for other users, or misuse the Service.
4. Membership and Subscription
GEM Compass may require a paid membership to access some or all features.
The GEM Compass Membership is currently offered as an auto-renewing subscription for $49.99 per month, unless another price, trial, promotion, or subscription period is shown to you at the time of purchase.
Your subscription gives you access to member features, which may include:
- Member community access.
- Goals and daily check-ins.
- Messages, events, and alerts.
- Curated recommendations and progress tools.
- Other GEM Compass membership features made available in the app.
Subscription features may change over time as we improve the Service.
5. Apple App Store Billing and Auto-Renewal
If you purchase a subscription through Apple, payment will be charged to your Apple ID at confirmation of purchase.
Your subscription automatically renews unless it is canceled at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours before the end of the current billing period, at the then-current subscription price.
You can manage or cancel your subscription in your Apple ID subscription settings:

Deleting the app or deleting your GEM Compass account does not automatically cancel your Apple subscription. You must cancel through Apple subscription settings.
Apple handles payment processing, billing, refunds, and subscription management for purchases made through the App Store. We do not control Apple’s billing system and cannot guarantee refunds for App Store purchases. Refund requests may be handled by Apple according to Apple’s policies.
6. Free Trials, Promotions, and Price Changes
We may offer free trials, promotional pricing, discounts, or other offers at our discretion. The terms of any offer will be shown at the time of purchase.
If a free trial is offered, you may be charged automatically when the trial ends unless you cancel before the trial expires.
Subscription prices may change in the future. If required, Apple will notify you of price changes and may ask for your consent before renewal at the new price.
7. No Medical, Therapy, Legal, or Financial Advice
GEM Compass provides tools for reflection, goal setting, community support, accountability, and personal development. The Service does not provide medical advice, mental health treatment, psychotherapy, crisis counseling, legal advice, financial advice, or other licensed professional services.
Any coaching, AI-generated content, prompts, recommendations, community posts, curated content, or progress insights are for informational and personal development purposes only.
You should consult qualified professionals for medical, mental health, legal, financial, or other professional concerns.
If you are experiencing an emergency, crisis, or risk of harm to yourself or others, call emergency services immediately. In the United States, call 911 for emergencies or 988 for suicide and crisis support.
8. Coaching and AI Features
GEM Compass may include coaching support, automated prompts, AI-generated insights, summaries, recommendations, or motivational content. These features are intended to support reflection and accountability.
AI and coaching-related features may be incomplete, inaccurate, or inappropriate for your specific circumstances. You are responsible for evaluating any suggestions before acting on them.
We do not guarantee any particular outcome, result, personal transformation, financial improvement, health improvement, relationship improvement, or life change from using the Service.
9. Community Guidelines
GEM Compass includes community and messaging features. You agree to treat other users, coaches, leaders, admins, and staff with respect.
You may not:
- Harass, threaten, abuse, bully, intimidate, or shame others.
- Post hateful, discriminatory, sexually explicit, violent, or exploitative content.
- Share another person’s private information without permission.
- Impersonate another person or organization.
- Spam, scam, solicit, or promote unrelated products or services.
- Upload malware, harmful files, or illegal content.
- Interfere with the operation or security of the Service.
- Use the Service for unlawful, harmful, or deceptive purposes.
We may remove content, restrict features, suspend accounts, or terminate access if we believe these rules have been violated.
10. User Content
You may submit content through the Service, including profile information, goals, check-ins, messages, posts, images, files, event responses, support requests, and other materials ("User Content").
You retain ownership of your User Content. By submitting User Content, you grant GEM a limited, worldwide, non-exclusive license to host, store, process, display, transmit, and use that content as needed to operate, improve, secure, and provide the Service.
You represent that you have the rights necessary to submit your User Content and that your content does not violate any law, third-party right, or these Terms.
11. Privacy and Data
Your use of the Service is also governed by our Privacy Policy:

The Privacy Policy explains what information we collect, how we use it, where it may be stored, and your choices.
Because GEM Compass includes community, messaging, coaching, check-in, support, and progress features, some information you provide may be visible to authorized staff, admins, coaches, community leaders, or other users depending on the feature and your community settings.
12. Goals, Check-Ins, and Progress Data
Goals, check-ins, reflections, progress data, GEMstones, streaks, rankings, and similar information are used to provide app functionality, support accountability, generate insights, and help authorized staff support members.
We aim to treat personal progress data responsibly, but you should not submit information that you are not comfortable being processed as described in our Privacy Policy and in the app.
13. GEMstones, Rewards, and Recognition
GEM Compass may include GEMstones, points, rankings, streaks, rewards, milestones, or recognition features. These features are intended to encourage participation and progress.
Unless explicitly stated otherwise:
- GEMstones and points have no cash value.
- GEMstones are not currency.
- GEMstones are not transferable outside the Service.
- GEMstones cannot be redeemed for money.
- We may adjust, reset, revoke, or modify GEMstones, points, streaks, rankings, or rewards to correct errors, prevent abuse, manage program rules, or update the Service.
Any real-world rewards, perks, events, or opportunities may be subject to availability, eligibility, community rules, and additional terms.
14. Events and Community Participation
The Service may display events, registrations, calendars, reminders, and community opportunities. Event details may change. We do not guarantee availability, attendance, capacity, timing, or suitability of any event.
You are responsible for your own conduct and safety when attending any event, whether online or in person.
15. Third-Party Services
GEM Compass may use or integrate third-party services, such as Apple, Firebase, Stream Chat, RevenueCat, Google services, analytics providers, notification services, calendar services, document/signature tools, or other vendors.
Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party platforms, outages, billing systems, policies, content, or actions.
16. App Availability and Changes
We may update, modify, suspend, discontinue, or limit any part of the Service at any time. We may add or remove features, change access rules, update pricing, modify community tools, or change how membership works.
We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.
17. Account Deletion
You may be able to delete your account from within the app settings. Account deletion may remove or disable your access to the Service and delete certain account information according to our Privacy Policy.
Deleting your GEM Compass account does not automatically cancel an Apple App Store subscription. You must cancel your subscription through Apple.
Some information may be retained as required or permitted by law, for legitimate business purposes, for security, fraud prevention, dispute resolution, compliance, backups, or records of transactions.
18. Intellectual Property
The Service, including the GEM Compass name, logos, branding, design, software, text, graphics, icons, images, workflows, frameworks, content, and other materials, is owned by GEM or its licensors and is protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or exploit any part of the Service unless we give you written permission.
19. Acceptable Use
You agree not to:
- Access the Service using unauthorized means.
- Attempt to disrupt, damage, or overload the Service.
- Reverse engineer or copy the app.
- Use bots, scrapers, or automated systems without permission.
- Circumvent access controls or subscription requirements.
- Misrepresent your identity or affiliation.
- Use the Service to violate laws or rights of others.
20. Termination
We may suspend, restrict, or terminate your access to the Service at any time if:
- You violate these Terms.
- Your conduct creates risk or potential harm.
- Your subscription expires or payment fails.
- We are required to do so by law.
- We discontinue or materially change the Service.
- We determine that termination is necessary to protect GEM, users, staff, partners, or the community.
Termination does not automatically entitle you to a refund.
21. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
We do not guarantee that:
- The Service will meet your expectations.
- The Service will produce any specific result.
- Coaching, AI, recommendations, or community content will be accurate or appropriate.
- The Service will be uninterrupted, secure, or error-free.
- Any defects will be corrected.
- Any content will remain available.
22. Limitation of Liability
To the fullest extent permitted by law, GEM and its owners, directors, officers, employees, contractors, partners, vendors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, personal injury, emotional distress, service interruption, or loss arising from your use of or inability to use the Service.
To the fullest extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to GEM Compass for the Service during the three months before the event giving rise to the claim, or $100, whichever is greater.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
23. Indemnification
You agree to defend, indemnify, and hold harmless GEM and its owners, directors, officers, employees, contractors, partners, vendors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms.
- Your violation of any law or third-party right.
- Your misconduct in the community or at events.
24. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles, unless applicable law requires otherwise.
25. Dispute Resolution
Before filing a claim, you agree to contact us first and try to resolve the dispute informally. You can contact us at:
If we cannot resolve the issue informally, disputes will be handled in the state or federal courts located in New York County, New York, unless applicable law requires another forum.
26. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify you through the app, by email, or by posting the updated Terms.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, stop using the Service.
27. Apple-Specific Terms
If you downloaded GEM Compass from the Apple App Store, you acknowledge that:
- These Terms are between you and GEM, not Apple.
- Apple is not responsible for the Service or its content.
- Apple has no obligation to provide maintenance or support for the Service.
- Apple is not responsible for claims related to the Service, including product liability, legal compliance, or intellectual property claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.
